WHO WE ARE

Private equity diligence expects large-company organisation from SME businesses.

Preparation can significantly improve the efficiency of the diligence process and help avoid surprises during a transaction.

Elements Advisory helps management teams prepare their business for investor scrutiny structuring information, addressing potential diligence issues early, and ensuring the business can be clearly understood by buyers. We work with companies with revenues of £2-£15m, ensuring owners can provide PE level data without losing focus on their business operations.

Many SME businesses have developed their records and systems organically over time. Elements Advisory is experienced in working with businesses where information may be spread across different systems, documents, and locations, helping bring structure and clarity before private equity diligence begins.

First-hand private equity experience.

Elements Advisory was founded by a former SME owner who sold a manufacturing business to a private equity-backed group and subsequently led the enlarged platform company as Managing Director. This experience informs the practical approach we take when preparing businesses for private equity diligence.

What We Offer

Helping owner-managed SMEs prepare for private equity

/ 001

PE-Ready Data Room

A well-organised data room is central to any private equity diligence process. We help build a clear, structured data room containing the operational, financial, and commercial information investors expect to review. By presenting the business in an organised and accessible way, the data room helps investors understand performance quickly and reduces unnecessary friction during diligence.

We help identify the areas investors are likely to examine and ensure the information required to support those discussions is prepared in advance. Addressing potential issues early allows management teams to approach the transaction process with greater clarity and confidence.

Founder

Operator experience from SME sale to PE ownership

Paul Hogan is the founder of Elements Advisory and an experienced SME owner and operator who has worked directly through the private equity transaction process. After building and leading a manufacturing business serving the commercial construction and interiors sector, Paul successfully sold the company to a private equity-backed group as part of a sector consolidation strategy.

Following the transaction, Paul was appointed Managing Director of the enlarged platform business within the private equity portfolio. In this role he worked closely with investors, advisers, and the board while leading the combined operations of the group and supporting its development under private equity ownership.

This experience provided Paul with first-hand insight into how private equity diligence unfolds in practice — both during a transaction and within a PE-backed business.

Paul founded Elements Advisory to help other owner-managed SMEs prepare their businesses for private equity investment before the intensity of a live transaction begins. The firm focuses on practical preparation, including building PE-ready data rooms, organising operational and financial information, and helping management teams present their business clearly and confidently to investors.

The aim is simple: helping SME businesses approach private equity from a position of preparation, clarity, and control.
