WHO WE ARE
Private equity diligence expects large-company organisation from SME businesses.
Preparation can significantly improve the efficiency of the diligence process and help avoid surprises during a transaction.
Elements Advisory helps management teams prepare their business for investor scrutiny — structuring information, addressing potential diligence issues early, and ensuring the business can be clearly understood by buyers. We work with companies with revenues of £2-£15m, ensuring owners can provide PE level data without losing focus on their business operations.
Many SME businesses have developed their records and systems organically over time. Elements Advisory is experienced in working with businesses where information may be spread across different systems, documents, and locations, helping bring structure and clarity before private equity diligence begins.
First-hand private equity experience.
Elements Advisory was founded by a former SME owner who sold a manufacturing business to a private equity-backed group and subsequently led the enlarged platform company as Managing Director. This experience informs the practical approach we take when preparing businesses for private equity diligence.

What We Offer
Helping owner-managed SMEs prepare for private equity
Discretion and professionalism throughout the process
Preparing a business for private equity often involves sharing sensitive operational and financial information. Elements Advisory works with management teams and their advisers to ensure this process is handled carefully, professionally, and with complete discretion at every stage.

Considering private equity for your business?
Private equity transactions often require a level of preparation that many SME businesses have never formally needed before. Elements Advisory helps management teams organise their business for diligence, ensuring investors can understand the company clearly and confidently.

Practical experience you can rely on
Elements Advisory is built on first-hand experience of building, selling, and operating an SME business within a private equity-backed environment. This perspective allows us to support management teams in preparing their businesses for private equity with practical insight and a clear understanding of how the process unfolds.

Working With Advisers
Elements Advisory works alongside accountants and corporate finance advisers to help management teams organise their information before a transaction process begins
Our role is to support preparation — structuring the data room, organising operational and financial information, and helping management prepare for diligence — so the wider advisory team can run a smoother transaction process.
Many engagements begin following a recommendation from an accountant or corporate finance adviser.
We do not act as a broker, intermediary, or corporate finance adviser.
Preparing SME businesses for private equity
Elements Advisory helps owner-managed businesses organise the information investors expect during diligence. By building PE-ready data rooms and supporting management preparation, we help businesses approach private equity with greater clarity and confidence.
Many businesses we work with have developed their systems and records gradually as they have grown. Part of our role is helping organise this information into a structure suitable for private equity diligence.

Founder
Operator experience from SME sale to PE ownership

Paul Hogan is the founder of Elements Advisory and an experienced SME owner and operator who has worked directly through the private equity transaction process. After building and leading a manufacturing business serving the commercial construction and interiors sector, Paul successfully sold the company to a private equity-backed group as part of a sector consolidation strategy.
Following the transaction, Paul was appointed Managing Director of the enlarged platform business within the private equity portfolio. In this role he worked closely with investors, advisers, and the board while leading the combined operations of the group and supporting its development under private equity ownership.
This experience provided Paul with first-hand insight into how private equity diligence unfolds in practice — both during a transaction and within a PE-backed business.
Paul founded Elements Advisory to help other owner-managed SMEs prepare their businesses for private equity investment before the intensity of a live transaction begins. The firm focuses on practical preparation, including building PE-ready data rooms, organising operational and financial information, and helping management teams present their business clearly and confidently to investors.
The aim is simple: helping SME businesses approach private equity from a position of preparation, clarity, and control.
A structured engagement designed to prepare an SME business for private equity diligence by organising information, building a PE-ready data room, and helping management prepare for investor discussions.
Most SME businesses have developed their records and systems gradually over time. Elements Advisory is experienced in working with information held across different systems, documents, and physical records, helping organise this material into a clear structure suitable for private equity diligence. The fixed-fee engagement includes up to two on-site visits if helpful, allowing us to review physical records and work directly with management teams.
Every business and transaction is different. An initial conversation is usually the best way to determine whether Elements Advisory can help and what level of preparation may be appropriate.
