Transaction-ready in 46 weeks

Transaction readiness built on operator experience, not just process

We work with business owners and management teams to organise the information buyers, investors, lenders and advisers will expect to see. That includes building a clear data room, identifying likely diligence questions early, and helping the business explain itself clearly before a live process begins. Founded by someone who has built, sold and then led an SME business inside an investor-backed group, Elements Advisory brings practical operator experience to transaction preparation. Most SME businesses are not naturally structured for diligence. We help change that.

WHO WE ARE

Buyer and investor diligence expects clear information from SME businesses.

Most advisers understand the transaction process. Paul Hogan has lived it building and selling a manufacturing business, then running the enlarged platform company from the inside.

Elements Advisory helps management teams prepare their business for buyer, investor and adviser scrutiny. We structure information, identify potential diligence issues early, and make sure the business can be clearly understood by external parties.

We typically work with owner-managed companies with revenues of £2m–£15m, particularly in manufacturing, engineering, industrial and technical sectors.

Many SMEs have developed their records, systems and reporting organically over time. Elements Advisory helps bring structure and clarity before a sale, investment process or formal diligence exercise begins.

First-hand experience of selling an SME business and operating inside an investor-backed group.

Elements Advisory was founded by a former SME owner who sold a manufacturing business to a private equity-backed group and subsequently led the enlarged platform company as Managing Director. This experience informs the practical approach we take when preparing businesses for diligence.

What We Offer

Helping owner-managed SMEs prepare for sale and investment

/ 001

Transaction Ready Data Room

A well-organised data room is central to any sale, investment or diligence process. We help build a clear, structured data room containing the operational, financial and commercial information buyers, investors and advisers are likely to review. By presenting the business clearly, the data room helps external parties understand performance quickly and reduces unnecessary friction during diligence.

Transaction Ready Data Room

/ 002

Diligence Preparation

Diligence often raises detailed questions about how a business operates, makes money, manages risk and supports future growth. We help identify the areas buyers, investors and advisers are likely to examine and ensure the information required to support those discussions is prepared in advance.

Diligence Preparation

/ 003

Management Readiness

Buyer, investor and adviser meetings require management teams to explain the business clearly and consistently. We work with management to ensure key aspects of the business — operational, financial, commercial and strategic — can be communicated effectively.

Transaction Support

When a transaction becomes live, the volume of diligence requests can quickly increase. We support management teams in organising responses, maintaining the data room, and ensuring information is provided clearly and efficiently. This helps the wider advisory team run a smoother transaction process while allowing management to remain focused on running the business.

Working With Advisers

Elements Advisory works alongside accountants and corporate finance advisers to help management teams organise their information before a transaction process begins

Our role is to support preparation structuring the data room, organising operational and financial information, and helping management prepare for diligence so the wider advisory team can run a smoother transaction process.
Many engagements begin following a recommendation from an accountant or corporate finance adviser.
We do not act as a broker, intermediary, or corporate finance adviser.

Working with PE firms and their portfolios

Elements Advisory also works directly with private equity firms and their portfolio companies particularly in manufacturing, engineering, and industrial sectors. Portfolio businesses often acquire or inherit operational disorganisation. Management teams may lack PE-standard reporting, diligence readiness, or the preparation needed to support a secondary transaction or bolt-on acquisition. We bring an operator's perspective to that work not a consulting framework. If you have a portfolio company that needs to get its house in order ahead of a transaction or investor review, we are happy to have a confidential conversation.

Founder

Operator experience from SME sale to PE ownership

Paul Hogan founded Elements Advisory after building and selling a manufacturing business to a private equity-backed group — and then serving as Managing Director of the enlarged platform company under PE ownership.

After building and leading a manufacturing business serving the commercial construction and interiors sector, Paul successfully sold the company to a private equity-backed group as part of a sector consolidation strategy.

Following the transaction, Paul was appointed Managing Director of the enlarged platform business within the private equity portfolio. In this role he worked closely with investors, advisers, and the board while leading the combined operations of the group and supporting its development under private equity ownership.

This experience provided Paul with first-hand insight into how private equity diligence unfolds in practice — both during a transaction and within a PE-backed business.

Paul founded Elements Advisory to help other owner-managed SMEs prepare their businesses for sale, investment, succession or external diligence before the intensity of a live process begins. The firm focuses on practical preparation, including building transaction-ready data rooms, organising operational and financial information, and helping management teams present their business clearly and confidently to investors.

The aim is simple: helping SME owners approach sale, investment or succession discussions from a position of preparation, clarity and control.

frequently asked questions

Common questions about preparing your business for sale, investment or diligence

When should a business start preparing?

Ideally, preparation begins well before a formal transaction process starts. Organising information and addressing likely diligence questions early can make buyer, investor and adviser discussions significantly smoother and more efficient.

Do you replace our corporate finance adviser or accountant?

No. Elements Advisory works alongside existing advisers. Our role is to help management teams prepare the business, organise information and build a diligence-ready data room so the wider advisory team can run a more efficient process.

What size of businesses do you typically work with?

Elements Advisory focuses on owner-managed SME businesses, typically with revenues between £2 million and £15 million, particularly in manufacturing, industrial, and engineering-led sectors.

Do our systems and records need to be perfect before we begin?

No. In many cases, the reason to engage Elements Advisory is that information is spread across different systems, folders, spreadsheets and physical records. The work is designed to bring that information into a clearer, more organised structure before diligence begins.

What does a transaction ready data room include?

A transaction-ready data room contains the key operational, financial, commercial, legal and organisational information that buyers, investors and advisers typically expect to review during diligence. Organising this clearly helps external parties understand the business quickly and reduces unnecessary delays.

How long does the preparation process usually take?

Most engagements take around four to six weeks, depending on the size and complexity of the business and how information is currently organised.

Why prepare before launching a sale process?

reparing early helps avoid the pressure and disruption that can occur when diligence begins during a live transaction. It also gives owners time to address gaps, improve explanations and approach buyer or investor discussions with greater control.

Do you work with PE firms directly, not just their portfolio companies?

Yes. We work with PE firms and their advisers on operational readiness at portfolio level — helping businesses prepare for secondary transactions, bolt-on acquisitions, or investor reviews. These engagements are typically initiated by the investor or portfolio team rather than the management team directly.
